Terms of Service

1. Acceptance of Terms

By creating an account, subscribing to a service, or otherwise using Herzmeet(the “Service”), operated by NOVERA WEB SRL (CUI 55616130, Reg. Com. J2026055293008), a company registered in Romania(the “Company”, “we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use the Service.

These Terms form a legally binding agreement between you (the “User”, “Member”) and the Company. We may update these Terms from time to time; material changes will be notified by email or on-site at least 30 days before taking effect.

2. Eligibility and Age Verification (18+)

The Service is strictly reserved for adults who are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher). By registering, you represent and warrant that you meet this requirement. We verify age at registration (date of birth) and may request additional verification (selfie, ID) at any time. Accounts suspected of belonging to minors are immediately suspended and referred to the competent authorities.

3. Description of Service

Herzmeet is an online social discovery platform that allows adult Users to create profiles, discover other members, exchange messages, send virtual gifts, and make audio or video calls. Certain premium features (priority messaging, unlockable photos, calls, gifts) require the purchase of credits or a paid subscription.

The Service is provided on an “as is” and “as available” basis. We strive for continuous availability but do not guarantee uninterrupted service.

4. Platform-Operated and AI-Assisted Profiles

Some profiles and interactions on the Service may be created, maintained, managed, or operated by the Company, its contractors, moderators, or operators, and may use automated systems or artificial intelligence. These profiles may use fictional, synthetic, or curated identities and content. They may not represent an independent natural person, and messages may be generated or assisted by a human operator, an AI system, or a combination of both.

Platform-operated or AI-assisted profiles may be used for entertainment, user engagement, onboarding, moderation, safety, testing, and improving the Service. Interactions with these profiles may involve premium features or credits under the same pricing shown before purchase or use.

We do not represent or guarantee that every profile is a real, independent person, that profile information is fully accurate, or that every interaction will lead to an in-person meeting or relationship. You should not assume that a profile or message is human-operated unless this is expressly stated.

Platform-operated and AI-assisted profiles are identified by a small sparkle-shaped icon displayed next to the profile name. This icon means that the profile is operated by or on behalf of the Company and that interactions may involve a human operator, automation, AI, or a combination of these. The icon is a clear notice and forms part of these Terms; it must not be removed, obscured, or misrepresented.

5. User Accounts

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. One account per person; creating accounts on behalf of third parties or registering duplicate accounts is prohibited. You must provide accurate information and keep it up to date. This restriction does not apply to profiles created or operated by the Company as disclosed in Section 4.

6. Pricing, Billing and Payment Processing

All prices are displayed in the applicable local currency at the point of purchase and include VAT where applicable. Payments are processed by our authorized third-party payment processor CCBill, LLC and/or its affiliates. CCBill is a PCI DSS Level 1 compliant payment service provider.

Billing descriptor: Charges will appear on your credit card, debit card, or bank statement as CCBill.com*Herzmeet.

Recurring subscriptions: If you purchase a recurring subscription, your payment method will be charged automatically at the start of each renewal period at the price in effect at the time of renewal, until you cancel. The renewal term, price, and next billing date are clearly displayed at checkout and in your account.

Credits: Credits are a prepaid digital currency usable only inside the Service. Credits are non-transferable between accounts, have no cash value outside the Service, and are not exchangeable for cash. Consumed credits (used to unlock content, send gifts, initiate calls or messages) are non-refundable.

7. Cancellation

You may cancel a recurring subscription at any time before the next renewal date:

• Inside the Service, from Settings → Subscription → Cancel subscription;
• Through CCBill’s consumer support portal at https://support.ccbill.com, by calling +1 (888) 596-9279 (US) / +1 (602) 276-3961 (international), or by email at [email protected];
• By contacting our customer service team at [email protected].

Cancellation stops future renewals; it does not automatically refund the current billing cycle. You will retain access to subscription benefits until the end of the period already paid for.

8. Refund Policy

For digital services delivered immediately upon purchase, EU consumer law (Directive 2011/83/EU, Art. 16(m)) allows waiver of the 14-day right of withdrawal with your express prior consent, which you provide at checkout. Details of refund eligibility, how to request a refund, and CCBill consumer support are set out in our dedicated Refund Policy.

9. Acceptable Use

You agree not to:

• Upload, share, or solicit content involving minors in any sexual or suggestive context (zero tolerance, immediate report to law enforcement);
• Post illegal content, hate speech, violent threats, or content that infringes third-party intellectual property rights;
• Engage in prostitution, escorting, human trafficking, or any commercial sexual activity, whether on or off the Service;
• Use the Service to defraud, scam, impersonate, blackmail, or otherwise exploit other Users;
• Attempt to circumvent billing, chargeback fraudulently, or dispute charges without first contacting our customer service;
• Use bots, scraping, reverse engineering, or any automation without our prior written consent;
• Share login credentials, sell or transfer your account.

10. User-Generated Content and License

You retain ownership of the content (photos, text, audio, video) you upload. You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display and adapt that content solely for the purpose of operating, promoting, and improving the Service. You represent that you own or have all necessary rights to the content you upload and that it does not violate any third-party rights or applicable law.

User Responsibility. Users are solely responsible for all information, profile descriptions, photographs, videos, audio, messages and any other content they upload, publish or transmit through the Service.

By uploading content, you represent and warrant that:

• you own or have the necessary rights to the content;
• the content is accurate to the best of your knowledge;
• the content does not violate any applicable law or the rights of any third party;
• the content does not contain misleading, fraudulent or impersonating information.

The Company does not create, edit or approve user-generated content prior to publication unless otherwise expressly stated.

Because the Service hosts content generated by Users, we cannot guarantee the authenticity, identity, accuracy, legality or completeness of any profile, photograph, statement or communication.

Users interact with other Users entirely at their own discretion and should exercise appropriate caution before sharing personal information, sending money or meeting offline.

11. Suspension and Termination

We may suspend or terminate your account at any time for breach of these Terms, suspected fraud, chargebacks, abusive behavior, or for any reason that compromises the safety of the community or the integrity of the Service.

You may delete your account at any time from Settings → Account → Delete account. Account deletion immediately initiates an irreversible deletion workflow. Profile, messages and media are purged without undue delay; limited accounting, tax and legal-defense records may be retained as described in our Privacy Policy.

12. Privacy and Data Protection

Your personal data is processed by NOVERA WEB SRL as data controller, in accordance with the EU General Data Protection Regulation (GDPR). See our Privacy Policy and Cookie Policy. For privacy requests, email [email protected].

13. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that you will find a match, that other Users will behave appropriately, or that the Service will be error-free or uninterrupted.

We do not guarantee that any User profile, photograph, biography, statement or communication is authentic, complete or accurate.

The Company is not responsible for representations, statements or content submitted by independent Users. Platform-operated and AI-assisted profiles are governed by the disclosures in Section 4.

For independent User accounts, we provide the technical platform through which Users may communicate, and each User remains solely responsible for their own conduct and content.

14. Limitation of Liability

To the fullest extent permitted by applicable law, the Company’s aggregate liability under or in connection with these Terms will not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim. Mandatory consumer protection rights remain unaffected.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Romania and applicable European Union regulations, without regard to conflict-of-laws principles. Any dispute shall be submitted to the competent courts of Iași, Romania.

EU consumers may contact us first and may also use a competent alternative dispute resolution body available under national law. The former European Commission Online Dispute Resolution platform was discontinued and is no longer presented as an available remedy.
